Contractor Terms of Service

Effective Date: December 1, 2025

These Terms of Service ("Terms") govern your participation as a contractor in the Restaurant Equipment SOS network ("RESOS," "we," "us"). By joining our network and accepting leads, you agree to these Terms.


1. Service Overview

Restaurant Equipment SOS connects commercial kitchen equipment repair contractors with restaurants experiencing equipment issues. We dispatch leads to qualified contractors in our network via SMS and phone.


2. Lead Pricing & Payment

Emergency Leads: $300 per qualified lead

Scheduled Service Leads: $75 per qualified lead (when available)

Payment Process:

  • When you claim a lead, a $300 pre-authorization hold is placed on your payment method
  • The charge is captured only after verified contact with the restaurant (minimum 15 seconds)
  • If no verified contact occurs, the authorization is released within 48 hours and you are not charged

Payment Methods: You must maintain a valid credit or debit card on file to receive leads.


3. What Counts as a Billable Lead

A lead becomes billable when:

  • You claim the lead
  • We connect you with the restaurant via phone
  • Verified conversation occurs (minimum 15 seconds of connected call time)

You are paying for the verified connection to a restaurant with an equipment issue. Whether the restaurant hires you for the job is not guaranteed.


4. Lead Claiming & Response Time

  • Leads are sent via SMS to available contractors in the service area
  • First contractor to claim the lead receives the dispatch
  • If you claim a lead, be prepared to answer when we connect the call
  • Unclaimed leads may be offered to other contractors

5. Call Recording & Consent

All dispatch calls may be recorded for quality assurance and lead verification purposes. By participating in our network, you consent to call recording. A brief consent notice is played at the start of recorded calls.


6. Contractor Requirements

To remain active in our network, you must:

  • Maintain valid general liability insurance (minimum $100,000 coverage)
  • Hold appropriate licenses for your service area
  • Provide accurate business and contact information
  • Respond professionally to all leads
  • Keep your payment method current

We may request updated proof of insurance at any time.


7. Independent Contractor Status

You are an independent contractor, not an employee of Restaurant Equipment SOS. You are solely responsible for:

  • Your own taxes, insurance, and business expenses
  • Compliance with all applicable laws and licensing requirements
  • Quality of work performed for restaurants
  • Your own employees or subcontractors

We do not control how you perform your work, only that you meet our network standards.


8. No Guarantees

We do not guarantee:

  • A specific number of leads
  • That leads will result in paid jobs
  • Lead availability in your area
  • Exclusivity in any territory

Lead volume varies by market demand, season, and other factors.


9. Refunds & Disputes

Leads are non-refundable once verified contact has occurred.

If you believe a lead was incorrectly billed, contact us within 7 days at hello@cashpath.ai with details. We will review call records and issue a credit if appropriate.


10. Network Removal

We may suspend or remove you from our network at any time for:

  • Failure to maintain required insurance or licensing
  • Unprofessional conduct or customer complaints
  • Payment method failures
  • Violation of these Terms
  • Any reason at our discretion

You may leave our network at any time by notifying us in writing.


11. Limitation of Liability

To the maximum extent permitted by law, Restaurant Equipment SOS's total liability for any claims arising from your participation in our network is limited to the fees you paid in the month the claim arose.

We are not liable for:

  • Lost profits or business opportunities
  • Actions of restaurants or other third parties
  • Equipment damage or job outcomes

12. Changes to Terms

We may update these Terms at any time. We will provide 30 days notice for material changes via email or SMS. Continued participation in our network after the notice period constitutes acceptance of the updated Terms.


13. Privacy

Your personal and business information is handled in accordance with our Privacy Policy.


14. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes arising from these Terms or your participation in our network shall be resolved in the courts of Delaware.
